CONFIDENTIALITY AGREEMENT

This Confidentiality Agreement (“Agreement”) applies to all visitors, users, and others who access or use the AMEA Health website (“Receiving Party”). By accessing or using our website, you agree to be bound by the terms of this Agreement.

1. Purpose

The purpose of this Agreement is to protect the confidential and proprietary information that may be disclosed by AMEA Health (“Disclosing Party”) to the Receiving Party through the website or related communications.

2. Definition of Confidential Information

“Confidential Information” refers to any non-public information disclosed by AMEA Health through the website, including but not limited to business strategies, technical data, financial information, software, product designs, intellectual property, marketing strategies, and other proprietary information that is marked or identified as confidential, or that a reasonable person would understand to be confidential.

3. Obligations of the Receiving Party

By accessing or using the AMEA Health website, you agree to:
a. Maintain the confidentiality of any Confidential Information you may receive and protect it with reasonable care.
b. Use the Confidential Information solely for the purpose of engaging with AMEA Health or evaluating its services, and not for any other purpose.
c. Not disclose, distribute, or otherwise make available any Confidential Information to third parties without the prior written consent of AMEA Health.
d. Limit access to the Confidential Information to individuals within your organization who need to know such information for the purpose of engaging with AMEA Health and who are bound by confidentiality obligations at least as restrictive as those in this Agreement.

4. Exclusions from Confidential Information

Confidential Information does not include information that:
a. Is or becomes publicly available through no fault of your own;
b. Was in your possession prior to disclosure by AMEA Health;
c. Is independently developed by you without the use of AMEA Health’s Confidential Information;
d. Is disclosed with the prior written consent of AMEA Health;
e. Is disclosed pursuant to legal requirements or government orders, provided you give AMEA Health sufficient notice to seek a protective order.

5. Duration

The obligations under this Agreement shall remain in effect for as long as you access or use the AMEA Health website and for two (2) years thereafter.

6. No License

Accessing or using the AMEA Health website does not grant you any rights to the Confidential Information, except as expressly provided in this Agreement. No license to any intellectual property rights is granted or implied by this Agreement.

7. Data Security

AMEA Health takes reasonable measures to protect the security of the Confidential Information provided through our website. However, we cannot guarantee absolute security, and you acknowledge that you are responsible for safeguarding your access credentials and ensuring the security of your own systems.

8. Remedies

In the event of a breach or threatened breach of this Agreement, AMEA Health reserves the right to seek injunctive relief and any other legal remedies available to protect its Confidential Information.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of laws principles.

10. Changes to This Agreement

AMEA Health may update this Confidentiality Agreement from time to time. We will notify you of any significant changes by posting the revised agreement on our website. Your continued use of the website constitutes your acceptance of the updated terms.
